1. Who we are
Tronic is operated by Aleksandar Mijić, an independent sole proprietor (Einzelunternehmer) based in Berlin, Germany (“we”, “us”, “our”). You can reach us at support@tronic.io. Further legally required information is set out in our Impressum.
2. The Service
Tronic is a marketplace and logistics platform for the construction industry, providing dedicated applications for carriers, customers, and suppliers to streamline ordering, supply, and delivery of construction materials. We may add, change, or discontinue features at any time.
3. Eligibility and accounts
The Service is intended for business users. To use certain features you must create an account and provide accurate, complete information. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorised use.
4. Acceptable use
You agree not to:
- use the Service in violation of any applicable law or regulation;
- upload unlawful, infringing, misleading, or harmful content;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- interfere with or disrupt the integrity or performance of the Service;
- reverse engineer, scrape, or copy the Service except as permitted by law.
5. Orders and transactions
Where the Service facilitates orders, quotes, or deliveries between customers, suppliers, and carriers, the resulting contracts are concluded between those parties. Unless expressly stated otherwise, we are not a party to those contracts and are not responsible for the quality, safety, legality, or delivery of materials offered or ordered through the platform.
6. Intellectual property
The Service, including its software, design, text, graphics, and the Tronic name and logo, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. No other rights are granted.
7. Your content
You retain ownership of the content and data you submit to the Service. You grant us a limited licence to host, process, and display that content solely to operate and provide the Service. You are responsible for ensuring you have the necessary rights to submit such content and that it does not infringe the rights of others.
8. Third-party services
The Service may rely on or link to third-party services (for example, hosting, analytics, and mapping providers). We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.
9. Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the extent permitted by law, we are liable without limitation only for damages caused intentionally or by gross negligence, and for injury to life, body, or health. In cases of slight negligence, we are liable only for breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on which you may reasonably rely), and such liability is limited to foreseeable, typical damages. Any further liability is excluded. Mandatory statutory liability, including under the German Product Liability Act, remains unaffected.
11. Indemnification
You agree to indemnify and hold us harmless from third-party claims arising out of your unlawful use of the Service or your breach of these Terms, to the extent you are responsible for such claims.
12. Term and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Where you are a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes is Berlin, Germany. Mandatory consumer-protection provisions of your country of residence remain unaffected.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
